投标人编制的投标文件及与本次投标活动相关的所有往来文件、说明、函件和通信资料，应采用中文与

法文或中文与英文两种语言同时编制。若不同语言版本之间存在不一致或歧义，以外文版本为准：其中，

本次投标采用线上投标方式，投标人应按照招标人要求提交加密电子版投标文件（该项作为评选打分项

之一）加密文件应包含完整投标文件、分项报价明细及相关附件资料，并采用常用办公软件格式（Word、

Excel、PDF等可编辑文件）。投标人应确保电子文件在投标截止时间前成功提交，并于开标现场或招

标人指定时间内提供解密密码。因投标人原因导致文件无法解密、无法读取或内容不完整的，其投标文

件可能被视为无效投标。

迪兹瓦矿业股份有限公司为2026年3600吨氧化镁采购进行招标。本项目采购采用DAP交货方式，适

用于刚果（金）境内及境外投标人。中标人应按照采购合同约定，将货物运输至招标人指定交货地点，

并承担DAP贸易术语项下约定的相关责任和费用。招标人每批次实际采购及接收数量将根据生产需求、

现场使用情况及采购合同约定进行合理调整。中标人应按照招标人下达的采购订单及交货通知组织供

货。货物结算单价按照双方最终签订的采购合同中约定的单价执行。

SOCTETEMINIEREDEDEZIWASASherebylaunchesatenderfortheprocurementof3,600tonsof

MagnesiumOxidein2026.ThisprocurementprojcctadoptstheDAP(DeliveredAtPlace）deliveryterm

applicabletobothbiddersregisteredwithinandoutsidetheDemocraticRepublicoftheCongo.Thesuccessful

BiddershallinaccordancewiththeProcurementContract,transportanddeliverthegoodstothedelivery

locationdesignatedbythePurchaser，andshallassumetherelevantresponsibilitiesandcostsstipulatedunder

theDAPtradeterm

TheactualquantitypurchasedandreceivedbythePurchaserforeachbatchshallbereasonablyadjustedbased

onproductionrequirementsactualon-siteusageconditionsandtheprovisionsoftheProcurementContract.

ThesuccessfulBiddershallorganizethesupplyinaccordancewiththepurchaseordersanddeliverynotices

issuedbythePurchaser

整，允许±10%的浮动，本次设置价格浮动条款，每季度进行调整。

本项目采用分标段招标方式，允许同一投标人同时参与两个标段的投标。为保障产品供应安全、降低供

应风险并维护招标人利益，如同一投标人在两个标段中经评审均被推荐为第一中标候选人，则该投标人

原则上只能获得其中一个标段的中标资格。招标人将根据各标段评审结果、供应保障能力及项目实际需

求确定其最终中标标段；未授予该投标人的另一标段，将按照评标委员会推荐的中标候选人排序，依次

授予排名靠前且符合条件的其他中标候选人。投标人参与本项目投标即视为接受上述评标及定标原则。

Thisprojectadoptsamulti-lottenderingapproach,andbiddersarepermittedtosubmitbidsforbothlots.To

ensuresupplysecurity,reducesupplyrisks,andsafeguardtheinterestsofthePurchaser,ifthesamebidderis

recommendedasthefirst-rankedsuccessfulbiddercandidateforbothlotsafterevaluation,suchbiddershall,in

1）投标人必须是在其注册所在国依法设立并有效存续的法人实体，具备独立承担民事责任的能力，并

具有履行本项目合同所需的经营资格、财务能力及履约能力。投标人应提供有效的公司注册证明、营业

执照（或同等法律效力文件）及相关资质证明文件。投标人的注册资本（或可证明的固定资产、资金实

力）原则上应不低于1万美元，且公司成立时间应不少于1年。

对于刚果（金）境内注册企业，投标人还应符合刚果（金）现行法律法规要求，包括但不限于依法完成

商业注册、税务登记及相关经营许可要求，并具备合法开展本项目相关业务活动的资格。

投标人如以授权代表身份参与投标，应提供公司合法有效的授权委托文件，并承担由此产生的全部法律

责任。

5.3招标人在收到投标人提交的报名资料并完成资格审核后，将以书面或邮件形式通知通过资格审核的

投标人缴纳标书购买费用。本项目招标文件售价为每份200美元（USD200），投标人可通过银行电汇或

现金方式支付。标书费用一经收取，概不退还。招标人在确认收到投标人支付的标书费用后，将通过电
